TD Asset Management Inc. is changing the names for the TD TSE 300 Index Fund
and the TD TSE 300 Capped Index Fund. The new names will reflect the new names of underlying by Standard & Poor’sindexes that each Fund tracks.

On January 30, 2002, Standard & Poor’s announced a new set of criteria for the inclusion and maintenance of public companies in the TSE 300 composite and capped indexes. As of May 1, 2002, the TD TSE 300 Index Fund will be renamed the TD S&P/TSX Composite Index Fund. The TD TSE 300 Capped Index Fund will be renamed the TD S&P/TSX Capped Composite Index Fund.

The investment objectives of these funds will remain unchanged. They will maintain the existing senior management and investment teams.
