The Saskatchewan Financial Services Commission has followed regulators in Alberta and B.C. by allowing a prospectus exemption for distributions made as a TSX Venture Exchange short form offering.
On February 23, the director of the securities division of the SFSC made an order granting an exemption from the prospectus requirement for distributions made under TSX Venture Exchange’s short form offering policy.
The TSXV policy allows reporting issuers who have filed an Annual Information Form and are listed on the TSX Venture Exchange to raise up to $2 million per year through the issuance of free trading securities to investors using the short form offering document as a base disclosure document. The short form incorporates by reference the issuer’s continuous disclosure record, including a current AIF.
The SFSC says that the order is substantially similar to ruling made by the Alberta and B.C. securities commissions.
