The Alberta Securities Commission says that legislative changes to adopt a new uniform prospectus and registration exemption rule will be proclaimed later this week.

The ASC says that on Sept. 14 the remaining provisions of the Securities Amendment Act, 2005 will be proclaimed in effect. The Alberta Government approved an order in council on Sept. 8.

“This means that the majority of registration and prospectus exemptions currently found in. . . the Securities Act and related transitional provisions and filing requirements will be repealed and replaced by (the new national rule) effective Sept. 14,” it reports.

Also, the ASC has issued an order providing short-term transitional relief to issuers that commenced, but did not complete, offerings of their securities using the current asset purchase and minimum investment exemptions, prior to their repeal on Sept. 14. These issuers will be able to complete their offerings in reliance on the current exemptions up to Nov. 30.
